1. Introductory provisions
These terms and conditions govern the provision of services by the company:
Belanská 1322/8, 040 01 Košice
Company ID: 53699271, Tax ID: 2121476973, not VAT registered
registered in the Obchodný register Okresného súdu Košice (the Commercial Register of the District Court Košice), section: Sro, insert number: 51384/V
E-mail: biz@meaovis.com, phone: +421 950 638 001
(hereinafter the “provider” or “we”). These terms apply to the following services:
- websites, online stores, portals and apps (web applications, PWAs, native iOS apps),
- add-on services billed by the hour,
- SEO Complete and SEO for AI,
- Free audit and Complete Audit,
- Monthly website care,
- Website Guardian (automated website checks on a subscription).
If we agree otherwise in the quote or in a written contract, the quote or the contract prevails over these terms.
2. Definitions
- Customer (“you”): a company, sole trader or other person who orders a service from us.
- Consumer: a customer who is a natural person and does not act within their business.
- Work: the result of a custom service: a website, online store, app, design, copy or audit report.
- Quote: a written proposal of the scope, price and delivery date that we send you by e-mail.
3. Orders and conclusion of the contract
- Websites, online stores, apps and SEO Complete: based on your enquiry we prepare a quote. The contract is concluded when you approve the quote in writing (e-mail is enough), or by signing a separate contract.
- Complete Audit: you order it with the form on the page Complete Audit. The contract is concluded when we confirm your order by e-mail.
- Website Guardian: by signing up on the page Website Guardian and by confirming the link we send you by e-mail.
- Free audit: you use the service by entering the website address on the page Free audit. No obligation and no payment arise from this.
An enquiry, a consultation or a price estimate from the configurator in the price list are not an order and do not commit you to anything.
4. Price
Service prices are listed in the price list or in an individual quote. For website packages the pricing shows the lowest price (“from”). The final price based on the scope is set out in the quote that you receive before work begins.
Complete Audit costs 350 €. Website Guardian costs 29 € per month or 290 € per year.
MeaOvis s. r. o. is not VAT registered. All prices stated are final and VAT is not added to them.
Two price lists. V price list we publish separate prices for Slovakia and the Czech Republic and separate ones for all other countries. It is not the same service for more money: the export price additionally includes what is listed next to the price list switch, in particular English from the first contact, a contract in English, a stated time overlap and a longer warranty under the warranty article.
Hourly rates. Add-on services and work beyond the package are priced as the number of hours times the hourly rate. The rates are published in the price list. For work billed by the hour we invoice the time actually worked, not the estimate.
Changing the price after the quote is agreed. The price goes down more often than it goes up:
- If the actual scope of work turns out to be smaller than the quote assumed, we charge less and we do not invoice the difference. You do not have to ask.
- We will raise the price in two cases only: (a) you expanded the scope beyond the agreed quote, or (b) you did not supply the agreed materials and we had to produce them for you so the work could continue.
- In both cases we will tell you in advance, say how many hours it is, and apply the increase only after you agree in writing (an email is enough). Without your agreement we do not raise the price and we do not do work beyond the quote.
- If it turns out during the work that the original hour estimate will not be enough, you get a new estimate before we carry on.
Third-party fees, for example for a domain, hosting, a payment gateway, licences or stock photo libraries, are not part of the price unless the quote states otherwise. You pay them directly to their providers.
5. Payment terms
- Payments are made on the basis of an invoice, by bank transfer to the account Tatra banka, a.s., IBAN SK91 1100 0000 0029 4010 2428. The invoice is due within 14 days of the date it is issued, unless agreed otherwise.
- For websites, online stores and apps we usually invoice a deposit before work starts and the rest of the price at launch or at handover of the work. The amount of the deposit and any payments by stages are stated in the quote.
- Complete Audit is payable in advance, on the basis of an invoice that you receive once we confirm the order.
- After the trial period you pay for Website Guardian in advance for the chosen period (a month or a year).
- If payment is late, we may, after prior notice, suspend the work or the provision of the service until the invoice is paid.
6. Web design, online stores and apps
- Cooperation. To deliver, we need your materials (copy, photos, logo, access details) and feedback on the drafts. The delivery date is extended by the time we spend waiting for materials or for your response.
- Delivery date. The delivery date is stated in the quote. Indicative times given in the pricing (“from 2 weeks” and similar) are not binding.
- Changes during the work. We incorporate comments on the design and content to the extent agreed in the quote. Larger changes to the brief may change both the price and the delivery date. We always tell you about that in advance.
- Handover. We hand the work over by launching it on your domain or by handing over access details and files. If you find a defect, let us know and we will fix it under the article on complaints.
- Content. You are responsible for the content you supply (copy, images, data), in particular for having the right to use it.
Warranty
- On the work we provide a 6 month warranty from handover. If your registered office or place of business is outside Slovakia and the Czech Republic, the warranty is 12 months. The longer warranty is part of the export price under the article on price.
- The warranty covers defects in the work, including those that appear after an update of common browsers or operating systems. We fix such a defect free of charge.
- The warranty does not cover changes made to the work by somebody else, outages and changes in third party services, content you supplied, and new requirements that were not part of the agreed quote. Those are handled as new work under the article on price.
- The warranty starts on handover of the work under the point Handover above. Report a defect under the article Complaints.
- A consumer's rights from liability for defects under the Civil Code are not affected by this and apply beyond this warranty.
Native apps for iPhone and iPad
- TestFlight. From the first build you get access to TestFlight, Apple's testing tool, and you install the app on your own device. The access is included and runs under our developer account, so you do not need one of your own.
- Release in the App Store. If the app is to appear in the App Store under your name, you need your own Apple Developer Program account. It is a third party fee under the article on price, you pay it directly to Apple and we will help you set it up.
- Approval of the app. We submit the app for review and deal with Apple's comments. Whether the app is published is decided by Apple under its own rules, which may change. We therefore do not guarantee approval, nor the timing of the review.
7. SEO Complete and SEO for AI
- The scope of work, the price and the period of cooperation are set by the quote. We keep you informed with a regular report on the work done and the results.
- The position in search results and in the answers of AI assistants is decided by third parties (for example Google, OpenAI) and it changes. We therefore do not guarantee any specific position. We undertake to work professionally and in line with the rules of search engines.
- We do not use prohibited practices such as bought link packages or fake reviews.
8. Free audit and Complete Audit
Free audit is an automated check of the homepage of a website that shows a short fix procedure for every problem it finds. We provide it free of charge and as is. The result is informational and may not reveal all problems. The audit goes through publicly available pages only. Running audits in bulk or automatically without our agreement is not allowed and we may restrict it.
Complete Audit includes:
- A check of all subpages (mobile + desktop); for large online stores all page types and a sample of products
- Step by step fix instructions for your administrator
- Priority order: what to fix now and what can wait
- Speed and Core Web Vitals for every page template
- SEO for AI: how ChatGPT, Gemini and Perplexity see you
- Comparison with 3 competitors and keywords
- PDF report + 30 min online consultation
- We deliver the audit within 5 business days of payment of the invoice. We agree on the date of the 30-minute online consultation after the report is delivered.
- If you order repairs, a new website or SEO Complete within 2 weeks of receiving the audit, we deduct the price of the Complete Audit from that order (up to the value of the order).
- The audit covers the state of the website at the time of the check. The fix guide is a recommendation. Responsibility for carrying out the fixes lies with whoever makes them on the website.
Fix pack is an add-on to the audit: from the measured data we generate the files the audit found missing from the site (Open Graph tags, structured data, links to the site icon, an llms.txt file) and add instructions. The following rules apply to it:
- The pack is free of charge. With the Complete Audit and with Website Guardian it is available to download straight from the report; with the free audit we send it by e-mail on request. With Website Guardian it is available to download from day 15 of the subscription.
- Poskytujeme ho tak, ako je. They are sample files, not a finished bespoke solution. Only the details we found on the site are filled in; the rest are marked FILL IN and the customer completes them.
- Before uploading, the files should be skontrolujte and the details about your business verified in them. You are responsible for the content of the details you add.
- Za uploading them to the site is the responsibility of whoever performs it. We recommend making a backup before the change.
- We do not access your website. We do not request your FTP, SFTP or admin credentials, we do not hold them and we do not store them. If you want us to carry out the fix, we will agree it as a separate service under these terms.
9. Monthly care
- What is included. 2 hours of work a month on small changes, updates and security patches, backups and recovery, Website Guardian and priority handling of faults. The price is in the price list and differs between the price list for Slovakia and Czechia and the one for export.
- Unused hours expire. The hours always apply to the calendar month. Whatever you do not use in that month does not roll over to the next month and gives rise to no claim, nor to a refund of part of the price.
- Work beyond the hours. If a change goes beyond the monthly allowance, we agree on it separately under the article on price. Without your agreement we charge nothing beyond the hours.
- Payment and duration. Care is paid monthly in advance against an invoice. It is without lock-in: you can cancel it at any time by email at biz@meaovis.com and it runs to the end of the paid month. We do not refund the paid part.
- What care is not. It is not a guarantee of uninterrupted availability of the site, nor a substitute for hosting. Third party services are the responsibility of their providers.
10. Website Guardian
- What the service does. Website Guardian automatically checks the website you enter: uptime usually every hour (when the website does not work, it sends you an alert by e-mail), SSL certificate validity roughly once a day, and roughly every 7 days it runs a full audit on mobile and desktop and sends you a report by e-mail. The intervals given are indicative.
- Trial period. The first 14 days are free, without entering a payment card, and each website can use it only once. The trial period is not charged automatically: when it ends, you decide for yourself whether you want to continue.
- Subscription. After the trial you choose a monthly (29 €) or yearly (290 €) subscription, which you pay in advance on the basis of an invoice. The service is provided for the paid period and does not renew automatically. If you want to continue, we send you an invoice for the next period.
- Cancellation. You can cancel Website Guardian at any time, using the link in every e-mail from the Guardian or by e-mail at biz@meaovis.com. If you cancel it during a paid period, the Guardian runs until the end of that paid period and is not extended further. We do not refund a paid subscription (nor any unused part of it). You pay no fee for cancelling.
- Limits. Automated checks are informational and do not replace website maintenance or backups. They may not reveal every problem and the results can be affected, for example, by the checked website being unavailable or blocking the checks. E-mails may end up in the spam folder.
- Authorisation. Set the Guardian up only for websites that you manage or for which you have the consent of the operator.
11. Copyright and ownership
- Once the price is paid in full, we grant you an exclusive licence with no limit in time or territory to the work created to order (the design, copy and code of the website or app), including the right to modify it and to have it modified by another company. The website is therefore yours.
- We register the domain, hosting and third-party accounts in your name, or we hand over access to them.
- For the general components that we also use in other projects (libraries, tools, procedures) and for third-party software (for example open source) you receive a non-exclusive licence to the extent needed to use the work. Third-party software is governed by the licences of its authors.
- Handover of the source code. Once the price is paid in full we hand over, in addition to the licence, the source code of the work and access to the repository with its history. We agree the method of handover in the quote, usually by transferring the repository to your account or by handing over an archive with the source code and instructions for running it. We hand over the whole source code including our general components used in it; those, however, carry the non-exclusive licence under the previous point, not the exclusive one.
- Until the price is paid in full no licence arises and we do not hand over the source code.
- We may list the finished work in our references and case studies unless we agree otherwise. We do not publish confidential information.
12. Liability
- We are responsible for the work matching the approved quote at handover.
- We are not liable for outages and changes in third-party services (hosting, domain, payment gateways, search engines, AI assistants, App Store), for content supplied by the customer, or for changes made to the work by someone else after handover.
- For business customers our liability for damage is limited to the price of the service in which the damage arose, where the law permits this. The limit does not apply to damage caused intentionally or by gross negligence.
13. Complaints
- Report a defect in the work or the service by e-mail to biz@meaovis.com with a description of where and how it shows. A screenshot helps.
- We confirm that we have received your complaint and settle it without undue delay, no later than 30 days from the day it is made, unless we agree otherwise.
- A justified complaint is settled by a free repair. If a repair is not possible, we agree on a reasonable discount.
- A consumer has rights arising from liability for defects under the Občiansky zákonník (the Slovak Civil Code).
14. Consumers
- If you are a consumer and concluded the contract at a distance (for example through the website or by e-mail), you may withdraw from it without giving a reason within 14 days of concluding it. Simply let us know by e-mail at biz@meaovis.com.
- If you expressly ask us to start the service before that period expires and we provide the service in full within the period, the right to withdraw ceases. If you withdraw after the work has started, you pay only for the part of the service provided up to the withdrawal.
- A consumer may also take a dispute to an alternative dispute resolution body, for example to the Slovenská obchodná inšpekcia, the Slovak trade inspection authority (soi.sk).
15. Privacy policy
You can read how we process personal data on the page Privacy policy.
16. Final provisions
- Language of the contract. We conclude the contract in Slovak or in English, whichever we agree on. Communication, documentation and handover of the work then all take place in the same language. Agreements made by email count as written.
- Two versions of the terms. We issue these terms in both Slovak and English and both versions are binding. If the versions differ in anything, the language in which the contract was concluded decides: the Slovak version for a contract in Slovak, the English version for a contract in English. Neither party is therefore bound by text in a language in which it did not contract with us.
- Governing law. Relations between businesses are governed by the Commercial Code, relations with consumers by the Civil Code and consumer protection law. Unless we agree otherwise, the law of the Slovak Republic applies and disputes are decided by the courts of the Slovak Republic.
- A different governing law for businesses. With a customer who is a business we may agree in the contract on a different governing law and a different way of resolving disputes, for example arbitration. Such an agreement has to be written into the contract; without it the previous point applies.
- Consumer protection where law is chosen. If you are a consumer, choosing a different law cannot deprive you of the protectiongiven to you by the mandatory rules of the country where you habitually reside.
- We may change these terms and conditions. A contract is governed by the wording in force at the time it was concluded. We inform you by e-mail in advance about changes that concern a Website Guardian subscription.
- If any provision is invalid, the remaining provisions stay in force.
These terms and conditions are effective from 8 October 2026.
